Terms of Service

These Terms of Service ("Terms") govern your access to and use of the NexPesa mobile application and related services (collectively, the "Service"), operated by NexPesa ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding agreements to use NexPesa. By using the Service, you represent that you meet these requirements and that all information you provide during registration is accurate and current.

2. Description of Service

NexPesa enables users to deposit, withdraw, and exchange funds between M-Pesa and supported Deriv trading accounts, including currency conversion between Kenyan Shillings (KES) and US Dollars (USD) at rates displayed within the app. NexPesa acts as an intermediary facilitating these transfers and is not a bank, deposit-taking institution, or licensed securities broker.

3. Account Registration & Security

• You are responsible for maintaining the confidentiality of your account credentials.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or are involved in suspected fraud.

4. Transactions & Fees

Exchange rates, transaction limits, and any applicable fees are displayed within the app prior to confirming a transaction. Rates may fluctuate and are subject to change without prior notice. Once a transaction is confirmed and processed, it generally cannot be reversed except as required by law or at our discretion in cases of verified error.

5. Prohibited Conduct

You agree not to use NexPesa to:

• Engage in money laundering, fraud, or any unlawful financial activity;
• Circumvent transaction limits or verification processes;
• Use another person's identity or payment credentials without authorization;
• Interfere with or disrupt the integrity or performance of the Service.

Violation of this section may result in immediate account suspension, withholding of funds pending investigation, and reporting to relevant regulatory or law enforcement authorities.

6. Suspension & Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, applicable law, or pose a risk to NexPesa or other users. You may stop using the Service and request account closure at any time (see our Account Deletion page).

7. Disclaimers

The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation. We are not responsible for delays or failures caused by third-party providers, including M-Pesa, Safaricom, or Deriv, that are outside our reasonable control.

8. Limitation of Liability

To the maximum extent permitted by law, NexPesa shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including loss of funds resulting from user error, third-party system outages, or unauthorized account access caused by your failure to secure your credentials.

9. Governing Law

These Terms are governed by the laws of the Republic of Kenya. Any disputes arising from these Terms or use of the Service shall be subject to the exclusive jurisdiction of the courts of Kenya.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the app or via email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
